Job Description

Macildowie Executive Search are looking for a chair for a high-growth, disruptor in the residential construction sector on the M4 Corridor. The organisation has been established for a number of years and has a socially-mindful, contemporary business model that sets it apart from many traditional bricks-and-mortar building firms. In short, they deliver affordable homes which, by design (and manufacture) have carbon neutrality and corporate social responsibility embedded. The latter is extremely attractive from a bidding perspective for many publicly procured construction projects.

So what will the role as chair involve?

1: Provision of effective strategic oversight of the business

2: Ensuring Board meetings are planned and executed in an efficient manner.

3: Delivering inspirational leadership to the company's executives

4: Ensuring duties to shareholders are being fulfilled

The role is further nuanced by the fact that the organisation is gearing up for IPO and is consequently mid-way through a fundraising round for this purpose.

Consequently (and importantly), their need is also for the chair to:

A: Play an active role in the fundraising (EIS)

B: Successfully guide the business through their IPO journey

C: Provide effective communication and governance for key stakeholders

It won't therefore surprise you to learn that the requirement is therefore for an experienced chair with an active network of institutional and/or private investors. They also require an individual who at the very least has presided over the successful sale of a business for an attractive multiple/optimised enterprise value. A successful IPO would be ideal, closely followed by any other sale mechanism e.g.trade/private/MBO. A working knowledge of the Enterprise Investment Scheme is needed too.

Finally, some exposure to the construction sector is also desirable for this role. Like any other sector, construction has it's nuances and an understanding of these will undoubtedly help optimise value.

In return, the role will be remunerated through an attractive equity play with the potential for further interim payments based on fundraising successes.
